TRANSACTIONAL MATTERS
Hartman & Winnicki’s corporate department consists of business minded attorneys who assist a wide variety of traditional and "dot com" business clients. Our corporate attorneys are experienced not only in matters that arise internally in a business, such as buy-sell agreements, employment and consulting contracts, partnership agreements, operating agreements for limited liability companies, retirement agreements and organizational documents, they also handle all aspects of corporate and business interactions including mergers and acquisitions, bank and institutional loans, joint venture agreements and private placement memorandums, to name just a few. An integral part of our corporate practice is our firm’s tax expertise in both Corporate, Partnership, and Limited Liability Company Tax law. While the firm’s attorneys are technically proficient in structuring the business and tax ramification of each transaction, they are also sensitive and mindful of the many personal factors that interplay in the sale, purchase and reorganization of family businesses and family succession issues.
Hartman & Winnicki has represented both individual and corporate clients as well as commercial and savings banks in a variety of complex lending transactions and loan workouts. The firm is involved in and carries out every aspect of these transactions including title work, review of underlying loan agreements, preparation of security agreements, mortgages and other collateral documents, and preparation of closing documents. These complex transactions have given our attorneys a great deal of experience dealing with truth-in-lending, environmental law, trust and fiduciary law, debtor-creditor law, collections, foreclosures, and creditor representation in bankruptcy reorganization and liquidation proceedings.
Hartman & Winnicki’s expertise and experience in the areas
of Charitable Trusts and Private Foundations have made us one of the leading
firms in Northern New Jersey in these areas. The firm’s attorneys
have considerable expertise in the formation and operation of such entities,
and they represent several of such organizations in all aspects of operations
including the entity’s establishment, obtaining recognition of federal
and state tax exemption and legal counseling in day to day functioning
within the boundaries of both the state and federal law.
